Governing Law & Jurisdiction Policy

Governing Law

All purchases, downloads, products, templates, document packs, materials, services, website use, customer accounts, transactions and disputes relating to Premium Cloud Office are governed by and construed in accordance with the laws of the Northern Territory of Australia.

This includes, without limitation:

• purchases made through the Premium Cloud Office website;

• access to digital products;

• use of templates and document packs;

• website content;

• intellectual property rights;

• customer accounts;

• document licences;

• disclaimers;

• indemnities;

• refunds;

• privacy matters; and

• any other interaction with Premium Cloud Office.

Jurisdiction

The customer irrevocably submits to the exclusive jurisdiction of the courts of the Northern Territory of Australia and any courts hearing appeals from those courts.

The customer waives any objection to proceedings being commenced in those courts, including any objection based on:

• forum;

• venue;

• convenience; or

• jurisdiction.

International Customers

Customers located outside Australia acknowledge and agree that:

• Premium Cloud Office operates from Australia;

• Premium Cloud Office documents are prepared primarily for Australian use;

• Australian laws may differ from the laws of other countries or jurisdictions;

• customers are responsible for obtaining independent legal advice regarding their own jurisdiction; and

• Premium Cloud Office makes no representation that any document is suitable for use outside Australia.

Conflict of Laws

To the maximum extent permitted by law, the principles of conflict of laws are excluded.

The laws of the Northern Territory of Australia apply regardless of:

• the customer's location;

• the place from which a purchase was made;

• the place from which a document was downloaded;

• the country in which a document is implemented; or

• the location of any server, payment processor or third-party platform.

Dispute Resolution

Before commencing court proceedings, the parties agree to use reasonable endeavours to resolve any dispute through good-faith negotiations.

A party claiming that a dispute has arisen should first provide written notice of the dispute, including:

• the nature of the dispute;

• the relevant facts;

• supporting documentation; and

• the outcome sought.

Nothing in this clause prevents a party from seeking urgent interlocutory, injunctive or equitable relief from a court of competent jurisdiction.

Severability

If any provision of this Policy is found to be invalid, illegal or unenforceable, that provision shall be severed to the extent necessary and the remaining provisions shall continue in full force and effect.

Survival

This Governing Law & Jurisdiction Policy survives:

• purchase of any product;

• termination of any customer account;

• download of any document;

• completion of any transaction; and

• cessation of any relationship between the customer and Premium Cloud Office.

Customer Acknowledgement

By purchasing, downloading, accessing or using any Premium Cloud Office product or service, the customer acknowledges and agrees that:

1. the laws of the Northern Territory of Australia govern the relationship between the customer and Premium Cloud Office;

2. the courts of the Northern Territory of Australia have exclusive jurisdiction over disputes relating to Premium Cloud Office products and services;

3. documents may not be suitable for use outside Australia without professional advice; and

4. independent legal advice should be obtained before relying upon or implementing any Premium Cloud Office document.

AI & Generated Content Notice

Use of Artificial Intelligence and Automated Tools

Premium Cloud Office may utilise artificial intelligence, machine learning systems, automated drafting tools, document automation software and other technology-assisted processes in the development, drafting, formatting, review, compilation, enhancement, maintenance and delivery of its products and services.

Such use may include the generation, editing, refinement, structuring, formatting or analysis of content contained within templates, precedents, agreements, deeds, policies, guides, checklists, instructions and related materials.

No Guarantee of Accuracy

Customers acknowledge and agree that:

• artificial intelligence and automated systems may produce inaccurate, incomplete, outdated or misleading content;

• automated content may contain drafting errors, omissions, inconsistencies or unintended language;

• AI-generated content may not reflect the most recent legal, regulatory, taxation or commercial developments;

• AI-generated content may not be appropriate for every jurisdiction, industry or circumstance;

• AI-generated content may require further verification, amendment or supplementation; and

• legal and commercial outcomes cannot be predicted or guaranteed by AI-generated content.

Premium Cloud Office does not warrant that any AI-assisted content is accurate, complete, current, legally effective or suitable for a customer's particular circumstances.

Mandatory Professional Review

All Premium Cloud Office documents, including documents that may have been drafted, reviewed, enhanced or assisted by artificial intelligence systems, must be independently reviewed by an appropriately qualified and currently practising lawyer before:

• use;

• issue;

• execution;

• signing;

• adoption;

• implementation; or

• reliance.

Where appropriate, customers should also obtain independent:

• accounting advice;

• taxation advice;

• financial advice;

• regulatory advice; and

• industry-specific professional advice.

Customer Verification Obligations

Customers are solely responsible for:

• reviewing all documents and content;

• verifying the accuracy of all information;

• verifying that documents reflect their commercial intentions;

• confirming compliance with applicable laws and regulations;

• identifying errors, omissions or inconsistencies;

• obtaining independent professional advice; and

• determining whether any document is fit for purpose.

Customers must not rely solely upon AI-assisted content when making legal, financial, operational or commercial decisions.

No Legal Advice

The use of artificial intelligence in the creation or enhancement of any Premium Cloud Office document does not convert the document into legal advice or professional advice.

Premium Cloud Office is not providing:

• legal advice;

• legal services;

• legal representation;

• financial advice;

• accounting advice;

• taxation advice; or

• regulatory advice.

All documents remain general information and drafting assistance only.

Limitation of Responsibility for AI Content

To the maximum extent permitted by law, Premium Cloud Office accepts no responsibility or liability for any loss, damage, liability, cost or expense arising from:

• reliance upon AI-generated or AI-assisted content;

• inaccuracies within AI-generated content;

• omissions within AI-generated content;

• legal or commercial decisions made using AI-generated content;

• failure to obtain professional advice; or

• implementation of AI-generated or AI-assisted documents without appropriate review.

Customer Acknowledgement

By purchasing, downloading, accessing or using any Premium Cloud Office product, the customer acknowledges and agrees that:

1. Premium Cloud Office may utilise artificial intelligence and automated tools in connection with its products and services;

2. AI-generated content may contain errors or omissions;

3. AI-generated content requires independent verification;

4. professional legal review is mandatory before use;

5. all use of AI-assisted content is undertaken at the customer's own risk; and

6. the customer remains solely responsible for all decisions made using Premium Cloud Office products.

Document Usage Policy

Permitted Use

Subject to compliance with this Policy, the Intellectual Property Policy, the Terms and Conditions, and all other Premium Cloud Office policies, customers are granted a limited, non-exclusive, non-transferable, revocable licence to use purchased documents solely for their own internal personal or business purposes.

Customers may:

• customise purchased documents for their own business requirements;

• use purchased documents in connection with their own business operations and transactions;

• complete and execute documents after obtaining appropriate professional advice;

• provide completed execution versions of documents to their lawyers, accountants, advisers, investors, financiers, banks, regulators and transaction counterparties where reasonably necessary;

• store documents electronically or physically for record-keeping and compliance purposes;

• create reasonable backup copies for internal use; and

• use documents for legitimate commercial activities conducted by the purchasing customer.

For the avoidance of doubt, permission to modify a document for internal use does not transfer ownership of any underlying intellectual property rights.

Single Business Use Licence

Unless otherwise agreed in writing, each purchase grants a licence for use by:

• a single individual;

• a single business entity; or

• a single corporate group controlled by the purchasing customer.

The licence does not permit unrestricted use across unrelated entities, clients, customers, members or third parties.

Professional Services Restriction

If the purchasing customer is a:

• lawyer;

• law firm;

• accountant;

• consultant;

• corporate adviser;

• company formation service;

• business adviser; or

• other professional services provider,

the customer may use completed and implemented documents in matters involving their own business.

However, the customer must not provide blank templates, editable templates, template libraries, precedent collections or document packs to clients unless expressly authorised in writing by Premium Cloud Office.

A separate commercial licence may be required for client-facing or multi-user use.

Prohibited Use

Customers must not:

Redistribution

• redistribute templates;

• provide copies of templates to third parties;

• circulate editable document versions;

• share document libraries;

• provide download access to third parties;

• distribute Premium Cloud Office materials without written authorisation.

Sale and Commercial Exploitation

Customers must not:

• sell Premium Cloud Office documents;

• resell Premium Cloud Office document packs;

• licence Premium Cloud Office documents;

• sublicense Premium Cloud Office documents;

• commercially exploit Premium Cloud Office materials;

• use Premium Cloud Office documents as part of another paid product or service;

• offer Premium Cloud Office documents for sale in any form.

Marketplace Uploads

Customers must not upload Premium Cloud Office materials to:

• Etsy;

• Gumroad;

• Creative Market;

• Envato;

• Sellfy;

• Template marketplaces;

• Subscription platforms;

• Member portals;

• Course platforms; or

• Any similar distribution platform.

Public Sharing

Customers must not:

• publish templates online;

• upload templates to public websites;

• post templates on social media;

• share templates in online communities;

• provide templates through forums;

• make templates publicly accessible; or

• distribute templates through cloud-storage links.

Competing Products

Customers must not:

• create competing document packs;

• create competing legal-template products;

• create competing precedent libraries;

• create derivative legal-document businesses;

• reproduce Premium Cloud Office document systems;

• recreate Premium Cloud Office workflows or document structures for commercial sale;

• use Premium Cloud Office content to develop competing products or services.

Artificial Intelligence and Automation

Customers must not use Premium Cloud Office materials:

• to train artificial intelligence systems;

• to train machine learning models;

• to build automated document-generation platforms;

• to develop competing legal-tech systems;

• to create derivative commercial databases; or

• for commercial AI training purposes,

without the prior written consent of Premium Cloud Office.

Modifications

Customers may modify purchased documents for their own use.

However:

• modified documents remain derived from Premium Cloud Office materials;

• modified documents do not become the customer's intellectual property solely because they have been modified;

• modified documents may not be resold;

• modified documents may not be distributed;

• modified documents may not be licensed to others; and

• modified documents may not be incorporated into competing products.

Breach of this Policy

Premium Cloud Office reserves the right to:

• revoke licences;

• suspend access to products;

• refuse future sales;

• issue cease-and-desist notices;

• seek injunctive relief;

• recover damages;

• recover legal costs; and

• pursue any other remedy available at law or in equity,

for any breach of this Policy.

Survival

This Document Usage Policy survives:

• purchase;

• download;

• product access;

• licence termination; and

• cessation of any relationship between the customer and Premium Cloud Office.

The restrictions contained in this Policy continue indefinitely unless expressly released in writing by Premium Cloud Office.

Intellectual Property Policy

Ownership of Premium Cloud Office Materials

All intellectual property rights in and to the Premium Cloud Office website, products and materials remain vested in and owned exclusively by Premium Cloud Office.

This includes, without limitation:

• legal templates;

• agreements;

• deeds;

• contracts;

• policies;

• forms;

• precedents;

• guides;

• checklists;

• procedures;

• workflows;

• instruction manuals;

• document packs;

• document structures;

• drafting methodologies;

• educational content;

• website content;

• product descriptions;

• graphics;

• logos;

• branding;

• trade marks;

• layouts;

• formatting;

• visual designs;

• downloadable resources;

• software tools;

• AI-generated content;

• written content; and

• all updates, revisions, modifications and future versions of those materials.

All rights not expressly granted to the customer are reserved by Premium Cloud Office.

Licence to Use Purchased Products

Upon successful purchase, Premium Cloud Office grants the customer a limited, non-exclusive, revocable, non-transferable and non-sublicensable licence to use the purchased product solely for the customer's own internal personal or business purposes.

This licence:

• permits the customer to customise documents for their own use;

• permits the customer to create execution copies for their own transactions;

• permits the customer to store documents electronically or physically within their organisation; and

• permits the customer to make reasonable backup copies for internal record-keeping purposes.

The licence does not transfer ownership of any intellectual property rights to the customer.

The customer acquires a licence to use the documents, not ownership of the documents themselves.

No Transfer of Intellectual Property

The purchase of a Premium Cloud Office product does not transfer:

• copyright;

• trade marks;

• business names;

• design rights;

• database rights;

• confidential information;

• trade secrets;

• branding rights;

• proprietary methodologies; or

• any other intellectual property rights.

All such rights remain the property of Premium Cloud Office.

Permitted Use

Customers may:

• complete and customise purchased documents for their own business operations;

• use documents in transactions involving their business;

• provide completed execution versions to their lawyers, accountants, advisers, investors, lenders or transaction counterparties where reasonably necessary;

• retain document copies for compliance and record-keeping purposes; and

• create execution-ready versions after obtaining appropriate professional advice.

Unless expressly authorised in writing by Premium Cloud Office, customers must not:

Commercial Redistribution

• sell Premium Cloud Office documents;

• resell Premium Cloud Office products;

• distribute blank templates;

• distribute editable versions of documents;

• licence Premium Cloud Office materials;

• sublicense Premium Cloud Office materials;

• commercially exploit Premium Cloud Office materials;

• package Premium Cloud Office documents with another product or service; or

• use Premium Cloud Office materials within a competing business.

Sharing and Distribution

Customers must not:

• upload documents to websites;

• upload documents to cloud-sharing platforms accessible by third parties;

• publish documents online;

• share download links;

• post documents in forums, communities or memberships;

• distribute documents through social media;

• provide documents to non-authorised third parties; or

• make Premium Cloud Office materials publicly available.

Marketplace Restrictions

Customers must not upload, list, distribute or offer Premium Cloud Office documents through:

• Etsy;

• Gumroad;

• Creative Market;

• Template.net;

• Sellfy;

• Envato;

• marketplaces;

• subscription services;

• document libraries; or

• any similar platform.

Competing Products

Customers must not:

• create competing document packs;

• create derivative legal template libraries;

• create competing legal-document businesses using Premium Cloud Office materials;

• copy Premium Cloud Office product structures;

• reproduce Premium Cloud Office document systems;

• replicate Premium Cloud Office methodologies; or

• use Premium Cloud Office content to train, build or enhance competing products.

Copyright Infringement

Premium Cloud Office reserves the right to:

• suspend access to products;

• revoke licences;

• issue cease-and-desist notices;

• enforce intellectual property rights;

• seek injunctive relief;

• recover damages; and

• pursue any other remedy available at law or in equity,

for any unauthorised use of its intellectual property.

Reporting Intellectual Property Concerns

If you believe that any Premium Cloud Office intellectual property has been copied, distributed, reproduced or used without authorisation, please contact Premium Cloud Office immediately with sufficient information to investigate the matter.

Survival

The provisions of this Intellectual Property Policy survive:

• purchase;

• download;

• product access;

• termination of any licence; and

• cessation of any relationship with Premium Cloud Office.

The customer's obligations relating to intellectual property continue indefinitely unless expressly released in writing by Premium Cloud Office.

Independent Professional Advice Requirement

No Legal Advice

Premium Cloud Office is not a law firm and does not provide legal advice, legal services, legal representation, financial advice, accounting advice, taxation advice or other professional advice.

All documents, templates, precedents, checklists, guides, policies, agreements, deeds, forms and related materials are provided as general information and drafting assistance only.

Nothing supplied by Premium Cloud Office should be interpreted as:

• legal advice;

• professional advice;

• a recommendation;

• a legal opinion;

• legal representation;

• a solicitor-client relationship;

• a barrister-client relationship; or

• any other professional services engagement.

Mandatory Independent Legal Review

Every document supplied by Premium Cloud Office must be reviewed by an appropriately qualified and currently practising lawyer before:

• use;

• issue;

• execution;

• signing;

• adoption;

• implementation; or

• reliance.

Customers acknowledge that legal documents should always be reviewed having regard to:

• their particular circumstances;

• business structure;

• ownership arrangements;

• regulatory obligations;

• taxation considerations;

• employment arrangements;

• intellectual property matters; and

• applicable laws and regulations.

Premium Cloud Office does not verify that any document is suitable for a customer's specific circumstances.

Customer Responsibility

The customer is solely responsible for:

• determining whether a document is suitable for its intended purpose;

• obtaining independent legal advice before use;

• obtaining independent accounting and taxation advice where appropriate;

• obtaining any required regulatory, compliance or industry-specific advice;

• ensuring all information entered into documents is correct;

• ensuring all documents are properly executed;

• ensuring compliance with applicable laws and regulations; and

• implementing documents appropriately within the customer's business.

Reliance at Own Risk

Any use, implementation, modification, execution or reliance upon a Premium Cloud Office document is undertaken entirely at the customer's own risk.

The customer acknowledges that:

• legal outcomes depend on individual circumstances;

• template documents cannot account for every situation;

• laws change over time;

• legal requirements vary between industries and transactions;

• improperly completed documents may not achieve the intended outcome; and

• professional advice is required before implementation.

Acknowledgement

By purchasing, downloading, accessing, reviewing or using any Premium Cloud Office product, the customer acknowledges and agrees that:

1. Premium Cloud Office has not provided legal advice.

2. Premium Cloud Office has not considered the customer's specific circumstances.

3. Independent legal review is required before use.

4. Independent accounting and taxation advice may also be required.

5. The customer assumes all risk arising from use of the documents.

6. The customer will not rely on any Premium Cloud Office document as a substitute for professional legal advice.

Return & Refund Policy

Digital Products

Premium Cloud Office sells digital products, including legal templates, document packs, guides, checklists, policies, agreements, deeds and related resources delivered electronically.

Due to the nature of digital products, all sales are final.

No Returns

Because our products are digital downloads and cannot be physically returned, we do not accept returns once a purchase has been completed.

No Change of Mind Refunds

We do not provide refunds for:

• change of mind;

• accidental purchases;

• purchasing the wrong product;

• deciding the product is not suitable for your circumstances;

• failure to read the product description before purchase;

• failure to obtain professional legal, accounting or tax advice;

• incompatibility with your intended use or business model;

• downloaded, accessed, opened or used products.

Please review product descriptions carefully before completing your purchase.

Product Suitability

Premium Cloud Office products are provided as templates, precedents and drafting resources.

It is the customer's responsibility to determine whether a product is appropriate for their intended purpose and to obtain independent professional advice before use.

Duplicate Purchases

Refunds will generally not be provided for duplicate purchases where the same customer purchases the same product more than once.

If you believe a duplicate purchase was made due to a technical error, please contact us and we will review the circumstances.

Access Issues

If you experience a genuine technical issue preventing access to a purchased product, we will use reasonable efforts to assist you and provide access to the purchased files.

Technical assistance may include:

• reissuing download links;

• providing replacement files;

• correcting corrupted downloads where applicable.

Australian Consumer Law

Nothing in this policy excludes, restricts or modifies any rights or remedies you may have under the Australian Consumer Law that cannot lawfully be excluded.

Where required by law, Premium Cloud Office will comply with its obligations under the Australian Consumer Law.

Limitation of Liability and Indemnity

Limitation of Liability

To the maximum extent permitted by law, Premium Cloud Office, its owners, officers, employees, contractors, affiliates and representatives exclude all liability arising from or connected with:

• the purchase, use or reliance on any document, template, guide, checklist, policy, deed, agreement or other material supplied by Premium Cloud Office;

• any loss of profit, revenue, opportunity, goodwill, business, contracts or anticipated savings;

• indirect, consequential, incidental, special or exemplary loss or damage;

• inaccurate, incomplete or outdated information supplied by a customer;

• modifications made by a customer or third party;

• failure to obtain independent professional advice;

• use of documents in circumstances for which they were not designed or intended;

• regulatory, taxation, corporate, employment, contractual or compliance issues arising from implementation of the documents.

All documents are provided as general information and drafting assistance only and are not legal advice.

Premium Cloud Office does not warrant that any document:

• is suitable for a customer's specific circumstances;

• will achieve any particular legal, commercial or regulatory outcome;

• complies with every law or regulation applicable to the customer;

• will be accepted by any regulator, court, government authority, bank, investor, service provider or third party.

To the extent that liability cannot be excluded by law, the total aggregate liability of Premium Cloud Office for any claim relating to the purchase or use of a product is limited to the amount actually paid by the customer for that product.

Customer Responsibility

The customer acknowledges and agrees that:

• all documents are templates and precedents only;

• every document must be independently reviewed by an appropriately qualified and currently practising lawyer before use, issue, adoption, signing or implementation;

• Premium Cloud Office has not considered the customer's individual circumstances;

• the customer remains solely responsible for all decisions made using the documents;

• implementation of the documents is undertaken entirely at the customer's own risk.

Indemnity

By purchasing, downloading, accessing, using or relying upon any Premium Cloud Office product, the customer agrees to indemnify, defend and hold harmless Premium Cloud Office, its owners, officers, employees, contractors, affiliates and representatives from and against any and all:

• claims;

• demands;

• actions;

• proceedings;

• investigations;

• losses;

• liabilities;

• damages;

• penalties;

• fines;

• costs; and

• expenses (including reasonable legal costs on a full indemnity basis),

arising directly or indirectly from:

• the customer's purchase, access, download, modification, use or implementation of any document or product;

• reliance on any information contained within a document;

• failure to obtain legal, tax, accounting or professional advice;

• use of a document for an unintended purpose;

• breach of applicable laws, regulations or contractual obligations;

• information supplied by the customer;

• misuse, alteration or redistribution of Premium Cloud Office materials;

• claims brought by third parties arising from the customer's use of any Premium Cloud Office product.

No Professional Relationship

The purchase or use of a Premium Cloud Office product does not create:

• a solicitor-client relationship;

• a barrister-client relationship;

• a fiduciary relationship;

• an adviser-client relationship; or

• any professional services engagement.

No legal, financial, accounting, taxation or other professional advice is provided.

Australian Consumer Law

Nothing in this agreement excludes, restricts or modifies any rights, guarantees or remedies that cannot lawfully be excluded under the Australian Consumer Law or any other applicable legislation.

To the extent permitted by law, any liability that cannot be excluded is limited, at Premium Cloud Office's option, to:

• replacement of the product;

• re-supply of the product; or

• the cost of replacing the product.
